Contractual scope
Each project or order is governed by the quotation and written agreement accepted by the parties. Those documents specify the legal contracting entity, goods or services, quantities, specifications, delivery location, excluded work and responsibilities.
Specifications and suitability
Clients should provide detailed technical requirements, operating conditions, preferred brands, quantity, necessary documentation and regulatory conditions where relevant. Material substitutions must be approved in writing.
Quotation validity
Quotes should state currency, taxes, delivery basis, freight, insurance, installation, training, warranties, price-validity period and exclusions. Price and availability may change until the order is formally accepted.
Advance payments
Procurement funded by an order begins after the agreed advance has cleared. Where expressly written into the accepted contract, a custom schedule may be 70% before purchasing, 25% before dispatch and 5% on agreed delivery acceptance. Otherwise, the accepted quotation determines payment milestones.
Bank and foreign exchange
Payments should use verified business payment instructions. Relevant taxes, withholding, bank charges, currency conversions or duties must be identified in the transaction documents. Changes in payable sums require documented confirmation.
Supplier verification
Product origin, brand, manufacturer authorization, availability, technical documentation and eligibility for regulated products are confirmed for each transaction where required. No website category guarantees distributorship or certification.
Shipping and lead times
Schedules may depend on supplier availability, production, imports, customs approvals, transport, project scope and site readiness. Delivery dates become binding only when described as such in the accepted written agreement.
Installation and support
Calibration, training, software licenses, installation, commissioning, technical support and consumables are included only if identified in the agreed quote.
Inspection and acceptance
The order agreement should state how the buyer inspects goods, reports shortages or damage, performs acceptance tests and seeks remedies. The balance associated with final acceptance is payable under that agreed procedure.
Changes, cancellations and refunds
Changes or cancellations require written communication. Any refund or outstanding balance is reconciled against goods delivered, evidenced nonrecoverable supplier commitments, agreed work and applicable law. Neither an automatic forfeiture of all advances nor an unrestricted full-refund guarantee applies.
Warranty and remedies
Warranty duration, conditions, replacement or repair procedures and any manufacturer service commitments should be listed for the order. Mandatory statutory rights are not waived.
